Heliocentris closes Strategic Partnership and Distribution Agreement with Acta S.p.A. for its electrolyser technology
Agreement includes various exclusive rights for Heliocentris
Equity participation of TEUR 250 in Acta S.p.A.
Heliocentris, a specialist in autonomous energy supply and energy efficiency solutions, has entered into a strategic partnership agreement with Acta S.p.A. a leading developer and manufacturer of compact hydrogen generators (electrolysers).
With this partnership, Heliocentris gets access to the highly competitive and revolutionary electrolyser technology of Acta. Their noble metal free, very low cost technology is an important strategic step for Heliocentris in executing its strategy to offer zero emission clean power solutions, with electrolysers allowing the storage of renewable energies such as solar or wind power through hydrogen. So far the high cost of on-site hydrogen production has been a big hurdle for the marketing of zero-emission diesel genset replacement solutions using fuel cells. In this potentially huge market the doors are now open for Heliocentris.
Heliocentris has been testing Acta’s stack technology for over a year now and has just recently finished developing a first system with very promising results. In the short term with the goal of early revenues from this technology investment Heliocentris aims to introduce its Acta based electrolysers into its training and lab market and so leverage its worldwide distribution network here.
In the medium term the plan is to implement this technology in our zero emission solutions for telecom and other stationary power applications. In the telecom sector Heliocentris is already established as one of the main players with innovative energy efficiency solutions enabling mobile operators to reduce their fuel costs by more than 50%. Replacing gensets by zero emission hydrogen fuel cell solutions will be the consecutive next step for Heliocentris.
Under the agreement Heliocentris has committed to buy alkaline solid membrane electrolyser products only from Acta, with a minimum of 500 units in the third year of the partnership. In exchange Heliocentris will have a non exclusive worldwide license to use Acta’s technology in all Heliocentris products, the worldwide exclusive license for certain laboratory and educational and training applications as well as exclusive licenses in Germany and for Middle East Africa for certain stationary clean power applications such as telecom base stations or home power solutions.
Heliocentris has committed to invest 250,000 in the course of an equity increase of Acta. The agreement is conditional on the successful completion of this capital increase in which Acta seeks to raise GBP 1.8 million (plus the investment by Heliocentris) to finance the working capital requirements of the Company’s current commercial expansion.
Ayad Abul-Ella, Chief Executive of Heliocentris commented: “We are excited to have entered into this strategic partnership with Acta. Cost efficient and scalable hydrogen generation is an important element of Heliocentris’ roadmap towards autonomous power and zero emission solutions. The combination of Acta’s innovative alkaline solid membrane technology and Heliocentris’ leading system engineering know-how will enable Heliocentris to expand its successful current rollout of GenSet efficiency and energy management solutions to the next level: commercially viable and industrial grade autonomous power as well as zero emission solutions.”
Paolo Bert, Chief Executive of Acta commented: “Heliocentris is a world leader in the field of energy efficiency and clean power solutions and as such, this Agreement represents not only a fantastic endorsement of Acta’s technology, but also the culmination of many months of successful product validation. It will enable Acta to address significant markets for its products through the established sales channels which Heliocentris already has in place.”
Heliocentris specialises in autonomous energy supply and energy efficiency solutions with the aim of replacing diesel generators with “zero-emission” products. The company, which was founded in Berlin in 1995, develops and markets systems and turnkey solutions for customers in industry and science and has three business areas: Energy Efficiency, Clean Energy and Didactic. The “Energy Efficiency” area specialises in energy efficiency, monitoring and management solutions for autonomous energy supply solutions. With the existing solutions, diesel consumption in applications such as mobile phone network base stations can be reduced by up to 50%, while the cost of operating such facilities can be reduced by up to 70%. The solutions are being commercially rolled out in Asia, Africa and the Middle East. The “Clean Energy” area focuses on “zero-emission” solutions for autonomous energy supply, including solutions for supplying electricity to off-grid applications such as monitoring stations, telecommunications facilities or self-sufficient houses. The core competency here is the efficient hybridisation of energy generators such as, solar and wind or even diesel generators with energy storage such as batteries and the own hydrogen fuel cell based storage solutions based on our scalable energy management solutions. Heliocentris has already successfully demonstrated its expertise in this area in numerous projects with renowned partners across the world. For over 10 years now, the “Didactic” area has been offering a range of learning and research systems for fuel cell and solar hydrogen technology and other regenerative energy technology. Customers include training centres, research institutes and industry. The comprehensive range of products and services makes Heliocentris one of the world’s leading companies in its field. With a subsidiary in Vancouver, offices in Dubai and Singapore and customers in more than 60 countries, Heliocentris is well positioned internationally.
