Enerparc is a global expert in developing, engineering, building, and operating large-scale photovoltaic systems. Our company has connected over 900 megawatts of systems to electricity grids, a knowledge base we draw upon to deliver projects with speed, flexibility, and high quality. Our North American business unit is looking for a talented lawyer to join the Enerparc Legal Department to help facilitate the solar transactions of our fast-growing company. The position will be based in our San Francisco, California office.
This position will report to the General Counsel and will provide transactional support on the company’s solar project development efforts, to include legal due diligence, contract drafting, and advising internal clients. We are looking for a lawyer who can provide creative solutions to help advance our market position and increase transaction velocity while limiting risk.
» Review and draft a broad range of commercial contracts, including EPC agreements, supply agreements, subcontracts, nondisclosure agreements, and letters of intent
» Assist with project due diligence, including review/revision of real estate agreements, power purchase agreements, interconnection agreements, and related matters; in the process, assess and provide advice regarding risks of proposed transactions and approaches to mitigate
» Handle formation of legal entities and related documentation such as bylaws, organizational resolutions, and corporate filings
Qualifications and experience
» J.D. from an accredited U.S. law school with excellent academic performance
» Member of the State Bar of California in good standing
» Minimum two to three years commercial legal experience, including high volume transactions
» Demonstrated capability in drafting, reviewing, and negotiating complex commercial contracts in addition to routine sales agreements
» Experience in the renewable energy industry is preferred
» Ability to communicate clearly both orally and in writing
» Proficient in the use of MS Office
» Team player with excellent interpersonal skills and an ability to develop strong working relationships, both with internal teams and with business partners and outside counsel
» Practical and proactive problem-solver with sound business acumen
» Ability to meet deadlines in a cooperative manner
» Works in a typical office setting.
