The GreenJobs.com web site ("Site") is a privately owned company ("the Company").
This Web page describes the Term and Conditions ("Terms of Use") under which you may use the Site. Please read them carefully since they constitute an Agreement between the Company and all users of the Site. If you do not accept them in their entirety, do not use the Site.
By using this Site you agree to be bound by the Terms of Use. The Company reserves the right, at its sole discretion, to revise the Terms of Use at any time by reposting this Web page. By using this Site after a revision of the Terms of Use, you agree to be bound by such revisions.

Ownership

All right, title and interest to the content displayed on the Site, including, but not limited to, the Site's look and feel, information, data, text, graphics, images, sound or video materials, designs, trademarks, service marks, trade names and the URL ("Content"), is the property of The Company or its partners, and agents and is protected by U.S. copyright.

Copyright Infringement and Copyright Agent

The Company may, in appropriate circumstances and at its sole discretion, remove, or disable access to, material on the Site that infringes on the rights of others. If you believe that your copyrighted work has been used on the Web Site in a manner that constitutes copyright infringement, please provide The Company with a written notice (e-mail or paper mail) that includes the following information:

    • an electronic or physical signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed;
    • identification of the copyrighted work claimed to have been infringed;
    • a description of where the material that you claim is infringing is located on the Site;

Authorized Use of the Site

Except as expressly provided in this Section, nothing contained in the Terms of Use or on the Site shall be construed as conferring any license or right, expressly, by implication, by estoppel or otherwise, under any of The Company’s intellectual property rights, or under any third party's intellectual property rights, and no part of this Site may be reproduced, republished, copied, transmitted, or distributed in any form or by any means except as expressly stated in this Section.

The Site is intended for use by those seeking employment (JobSeekers) and those looking for staff (Employers and Recruiters), jointly Users.

As a Job Seeker you are hereby granted a nonexclusive, nontransferable, revocable, limited license to access and use the Site for the purpose of finding job openings for yourself and applying for them. This allows you to view, copy or download a single copy of material on the Site for your sole, personal, non-commercial use. Access to the Site is a privilege granted by The Company provided you use it in a lawful manner and follow the Rules of Use

As an Employer or recruiter you are hereby granted a nonexclusive, nontransferable, revocable, limited license to access and use the Site for the purpose of advertising your current job openings (Postings) and finding qualified candidates. . This allows you to view, copy or download a single copy of material on the Site for your sole, personal, use in searching for candidates for existing job openings. The license to access resumes and post jobs is granted for a limited period, in exchange for a fee, and allows you personally to download an unlimited number of resumes during its term, provided that (a) such use of the Content does not interfere with the Company’s business, and (b) you do not remove or obscure the copyright notice or other notices displayed on the Content. Any rights not expressly granted herein are reserved.. You are not permitted to extend access to third parties using your account. The Company reserves the right to terminate your account if you are found to break these terms or use the Site in an unlawful manner.

Rules of Use

You undertake to use the Site exclusively for the purposes it is designed and not to use it unlawfully. Unlawful use will result in termination of the account and may lead to civil or criminal prosecution. Actions specifically prohibited include, but are not limited to:


    Breaching or testing Site and network security
    Using the Site to send unsolicited emails for any purpose, including advertising promotions
    Accessing data that is private to others
    Using an account for which you are not registered
    Making unauthorized access to restricted areas of the Site
    Impacting the performance of the Site by any means, including virus infection or mail saturation
    Using the information posted on the Site by others for any purpose other than that intended by the person who made the posting

Posted resumes must be posted by individuals seeking employment on their own behalf and must be accurate and not contain any false information. Whereas it is in the Job Seeker’s interests that the resume be as complete as possible, only a minimum set of data is required by the Site. Any resumes discovered to contain false information will be deleted from the Site.

Jobs Postings must be for actual openings for an individual and must contain sufficient details to enable the user to get an accurate impression of the nature and scope of the post being advertised, requirement and qualifications expected of candidates and the way candidates can apply for it. The content of the Posting should reflect exclusively its purpose and should not contain:

    Any links to external websites, e.g. for the purpose of advertising.
    Any material which violates copyright or exposes intellectual property, whether patent, know how or trade secrets.
    Any material which might cause offense, including but not limited to, material which is libelous, attacks race, gender or age, is sexually explicit or otherwise obscene, abusive or harassing.
    Requests for candidates to email for full particulars of the post.
    Any material which is false, misleading or not accurate.
    Any material with the purpose of advertising or marketing business opportunities of any kind.
    Any request for payment to a third party before the job details can be seen.
    Alteration or deletion of content posted by another user.

The Company does not undertake to police the Site content posted by users but may monitor it at random and will take any corrective action that it, at its sole discretion believes advisable. Users must protect their own passwords and undertake to notify any unauthorized use of their account(s).

No Representations or Warranties

THE WEB SITE AND ITS CONTENT ARE PROVIDED "AS IS." THE COMPANY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND AGAINST INFRINGEMENT OF ANY RIGHTS (INCLUDING WITHOUT LIMITATION INTELLECTUAL PROPERTY RIGHTS OF ANY KIND). THE WEB SITE AND CONTENT MAY INCLUDE INACCURACIES, OUTDATED INFORMATION, DEFECTS, OMISSIONS AND/OR OTHER ERRORS.

The company makes no guarantees as to the accuracy, completeness or truthfulness of any content posted to the Site by Users. Limitation of Liability

AS A USER, YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE, THE DOCUMENTS YOU ACCESS OR POST, AND FOR YOUR CONDUCT ON THE SITE.
IN NO EVENT WILL THE COMPANY, ITS OFFICERS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS, SUPPLIERS, AGENTS, AFFILIATES, SUBSIDIARIES, SUCCESSORS OR ASSIGNS BE LIABLE TO ANY PARTY FOR ANY DIRECT, INDIRECT, ECONOMIC, SPECIAL OR OTHER CONSEQUENTIAL DAMAGES, LOSS OF GOODWILL OR LOSS OF PROFITS ARISING OUT OF OR IN CONNECTION WITH THE USE OF THIS WEB SITE, OR USE OF ANY LINKED WEB SITE, INCLUDING WITHOUT LIMITATION ANY LIABILITY ARISING FROM BREACH OF CONTRACT, NEGLIGENCE AND ANY OTHER STATUTORY, CONTRACT AND/OR TORT LIABILITY, EVEN IF THE COMPANY HAS BEEN EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TERM "DAMAGES" INCLUDES, WITHOUT LIMITATION, ATTORNEY FEES, ANY LOST PROFITS, BUSINESS INTERRUPTION AND LOSS OF PROGRAMS OR OTHER DATA ON YOUR INFORMATION PROCESSING SYSTEM.
THE COMPANY EXPRESSLY DISCLAIMS ANY LIABILITY FOR THIRD PARTY INFORMATION OR OPINIONS POSTED ON THIS WEB SITE ARISING UNDER CRIMINAL OR CIVIL LAWS RELATING TO DEFAMATION, INTELLECTUAL PROPERTY INFRINGEMENT, PRIVACY, OBSCENITY, OR ANY OTHER AREA OF LAW.
IN THE EVENT THAT THE STATE OR JURISDICTION DOES NOT ALLOW THE EXCLUSION OF LIABILITY EXPRESSED ABOVE, THE COMPANY’S MAXIMUM LIABILITY FOR ANY NON-DIRECT TYPE OF DAMAGES SHALL BE LIMITED TO $200 IN THE AGGREGATE.
IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS, SUPPLIERS, AGENTS BE LIABLE TO ANY PARTY FOR ANY DIRECT DAMAGES IN EXCESS OF $200 IN AGGREGATE. THE SOLE EXCEPTION IS THAT OF AN EMPLOYER WITH A SERVICES AGREEMENT WHERE THE MAXIMUM LIABILITY SHALL BE THE ACTUAL PAYMENTS MADE BY THE EMPLOYER TO THE COMPANY.
The Company shall be entitled to equitable relief in addition to money damages in the event that a User breaches these Terms and Conditions.

Indemnity

You agree to defend, indemnify, and hold harmless The Company, its officers, directors, employees and agents, from and against any claims, actions and demands, including without limitation reasonable legal fees, arising or resulting from your use of the Site, any documents posted by you, or your breach of the Terms of Use. The Company shall use all reasonable efforts to advise you in a prompt manner of any such claim, suit or proceeding.

Links

This Site provides links to other web sites that are completely independent of this Site for the convenience of Users. The Company makes no representation or warranty as to the content, ownership or legality of any such linked web sites. In no event should any link to another web site be construed as an endorsement by the Company of that web site or of the products or services described therein. If you decide to access the linked third party web site, you do so at your own risk.

Termination of Use

The Company reserves the right to terminate, at its sole discretion, your use of this Site without notice. Such termination shall be effective immediately. Upon termination you shall immediately cease using the Web Site.

Communications

The Company will address communications to Users by means of their registered email addresses. Communications willi include a weekly newsletter; each newsletter contains an unsubscribe link that recipients can use to prevent receipt of future issues; the newsletter distribution list is independently maintained by an accredited email marketing organization and Greenjobs cannot add back any email addresses when its owner as chosen to unsubscribe..

Additional Legal Matters

The Terms of Use shall be governed by and construed in accordance with the laws of the State of California, without giving effect to its principles of conflicts of law. Any disputes or controversies arising out of the Terms of Use shall be subject to the exclusive jurisdiction of the federal courts of the United States of America and/or the state courts of California and the venue for such disputes shall rest solely in San Francisco County, California. Any provision of the Terms of Use that is determined by a court of competent jurisdiction to be unenforceable in any jurisdiction shall be severable from the Terms of Use in that jurisdiction without in any way invalidating the remaining provisions of the Terms of Use. The unenforceability of any provision in a given jurisdiction shall not make that provision unenforceable in any other jurisdiction.

Non Disclosure

When Greenjobs acts as an intermediary for an employer, for example to recruit staff, Greenjobs warrants that it will protect all confidential information that may be disclosed to Greenjobs by the client in order to facilitate the assignment. In these circumstances, Greenjobs will ensure that information published is only that approved by the client in advance.

Greenjobs will not be liable for any disclosure of information, by third parties, which occurs without any contribution from Greenjobs or its staff.,

Contractual Commitment

When a client, whether employer or recruiter, uses the fee based features on the Greenjobs website, a contract is created for the value of the services chosen as displayed on the site. The client will pay for the contract in advance of use unless specifically agreed otherwise by Greenjobs and the client.

When Greenjobs agrees to act as an intermediary for a client, a contract will be created within the Greenjobs database for the services and cost agreed with the client. the client will be invoiced as agreed with Greenjobs. The client is required to pay the invoice within 30 days.

Payments received by the Company for a legitimate purchase will be refunded only at the discretion of the Company and only if the the product has not been used in part or in its entirety.

A written copy of the contract will be supplied upon request.

Greenjobs warrants to perform all duties inherent in the contract including but not limited to processing applicants for the agreed job postings in the specified time scale and for the agreed cost while observing any concerns of client confidentiality agreed in advance.
