Your Opportunity

One Permanent Full Time Position

In general Legal counsel is responsible for providing practical business oriented legal advice on a variety of corporate and commercial legal matters, including drafting and negotiating: (i) commercial agreements such as non-disclosure agreements, guarantees, retail power agreements, bi-lateral power purchase agreements, and emission offset/emission performance credit purchase and sale agreements; (ii) procurement contracts for goods and services; and (iii) lease and option agreements. The Legal Counsel, Trading, will play a large role in supporting the trading function within the organization.

You will contribute to our team by:

  • Prepare, review and negotiate the terms of general corporate and commercial agreements and, where appropriate, engage and manage external legal counsel to assist with such matters.
  • Provide legal advice on trading and origination activities, including regulatory compliance and risk management.
  • Develop and maintain self-help tools for internal business partners, including providing legal educational sessions as well as maintaining standard form agreements, contract playbooks, emission offset/emission performance credit agreements, and non-disclosure agreements.
  • Develop, implement and review corporate and commercial related operational processes to ensure compliance with Capital Power’s policies, standards and regulatory requirements to ensure mitigation of risk.
  • Analyze and identify issues impacting operational performance and establish initiatives for continuous improvement to ensure that the services provided align with the needs of the company, while maintaining a governance and risk mitigation role.
  • Draft, review, and negotiate a variety of contracts related to trading and origination, such as purchase agreements, sales agreements, ISDA Master Agreements, and other trading documentation
  • Work closely with internal stakeholders to establish processes and tools and deliver targeted education with the objective of limiting the company’s exposure to liability.

What you will bring to the role:

Education:

  • Bachelor of Laws
  • License to practice law in AB

Experience:

  • 3-5 years of experience
  • general corporate/commercial law experience
  • knowledge and experience in commodity trading required

Technical Skills:

  • Excellent written and spoken communication skills
  • Proficient use of Microsoft Office suite of software
  • Excellent collaboration and influence skills
  • Confidence, ability to learn quickly and to manage ambiguity

Working Conditions:

  • Hybrid Office/Work from home position, with minimal travel to meet business users at Capital Power facilities or other offices.
